Terms & Conditions
1. Services
Provider will deliver up to 40 hours of SEO management and marketing services per calendar month ("Services"). Services are performed remotely unless otherwise agreed in writing. The specific scope of work for each month will be outlined in the corresponding invoice or a mutually agreed project brief.
2. Fees & Payment
The monthly retainer fee is $3,000, invoiced at the start of each billing cycle. Payment is due within 15 days of the invoice date. Client agrees to maintain a valid payment method on file and authorizes Provider to charge accordingly.
3. Hours & Scope
The monthly retainer includes up to 40 hours of Services. Unused hours do not roll over to subsequent months. Work requested beyond 40 hours in a given month will be scoped separately and billed at Provider's current hourly rate, with Client's written approval required before work begins.
4. Month-to-Month Engagement
This engagement renews automatically on a month-to-month basis. Either party may cancel by providing 30 days written notice prior to the next billing cycle. Cancellation does not entitle Client to a refund of fees already paid, and Provider will complete the current billing month's Services as agreed.
5. Refund Policy
All fees are non-refundable. If Client believes an invoice contains an error or discrepancy, written notice must be submitted to Provider within 10 days of the invoice date for review and resolution.
6. Intellectual Property
Upon receipt of full payment for a given billing period, Client owns all deliverables produced during that period. Provider retains the right to reference the engagement — including general scope, outcomes, and industry — for portfolio, case study, and marketing purposes, unless Client requests otherwise in writing.
7. Confidentiality
Both parties agree to treat the other's proprietary business information, strategies, and data as confidential. Neither party will disclose such information to third parties without prior written consent, during or after the term of this engagement.
8. Limitation of Liability
Provider makes no guarantees regarding specific search engine rankings, organic traffic levels, or revenue outcomes. SEO results are subject to search engine algorithm changes and other factors outside Provider's control. Provider's total liability for any claim arising from this engagement shall not exceed the fees paid in the most recent billing month.
9. Independent Contractor
Provider operates as an independent contractor. Nothing in this agreement creates an employer-employee relationship, partnership, or joint venture between the parties. Provider is solely responsible for all applicable taxes on fees received.
10. Governing Law
This agreement is governed by and construed in accordance with the laws of the Commonwealth of Virginia. Any disputes arising from this engagement shall be resolved in the courts of Fairfax County, Virginia.
11. Amendments
Provider reserves the right to update these Terms & Conditions at any time. Clients will be notified of material changes via email or invoice notice at least 15 days prior to the next billing cycle. Continued use of Services following notice constitutes acceptance of updated terms.
12. Entire Agreement
These Terms & Conditions, together with the applicable invoice, constitute the entire agreement between the parties and supersede all prior discussions, representations, or agreements relating to the Services.
